The announcement shows that the registered capital of the joint venture company is 800 million yuan, of which Chuanfa Lomon invested 160 million yuan in currency, accounting for 20%; China Innovation Airlines invested 320 million yuan in currency, accounting for 40%; Shengjie Ganzi invested in currency and Non-monetary investment was 160 million yuan, accounting for 20%; Meishan Industrial Investment invested 160 million yuan in currency, accounting for 20%; the company invested 160 million yuan in currency, accounting for 20%. The funds for this external investment come from the company's own and self-raised funds, which will be paid in installments according to the project's capital needs.

Among them, AVIC is one of the important players in the domestic lithium battery field. It was renamed from AVIC Lithium before and is the third largest power battery production giant in China. According to the plan of China Innovation Aviation, the company's battery production capacity will exceed 500GWh by 2025, and the production capacity will reach 1TWh (ie 1000GWh) by 2030.
The Holy Ganzi and Meishan Industrial Investment are 100% controlled companies by the Ganzi State SASAC and the Meishan SASAC respectively. Chuanfa Lomon is deeply engaged in the phosphorus chemical industry chain, and the actual controller is the Sichuan State-owned Assets Supervision and Administration Commission. In recent years, Chuanfa Lomon has taken lithium iron phosphate as a breakthrough and has begun to vigorously cut into the business of new lithium battery materials.
The financial report shows that Chuanfa Lomon produced a total of 269,800 tons of industrial-grade monoammonium phosphate last year, accounting for about 13% of the total domestic output of the entire industry. It is the largest industrial-grade monoammonium phosphate manufacturer in the world in terms of production and sales. And industrial grade monoammonium phosphate can be used as phosphate fertilizer, flame retardant, feed additive, raw material of iron phosphate, etc.
According to the agreement of all parties, the board of directors of the joint venture company will be composed of 7 directors, including 1 nominated by Shengjie Ganzi, Meishan Industrial Investment and Chuanfa Lomon, 3 nominated by China Innovation Airlines, and 1 employee director. The chairman of the joint venture company is a director nominated by Shengjie Ganzi, and the general manager is appointed by China Innovation Aviation.
After the project of the joint venture company is put into production, the product pricing mechanism will be reasonably formulated in accordance with market principles. Lithium ore products will give priority to supporting the industrial chain of China Chuanghang's battery project in Meishan (including Chuanfa Lomon which meets and is used for the supporting needs of China Chuanghang), as well as Chuangxinhang and Chuanfa Lomon's supporting Chuangxinhang batteries in Meishan The project is the processing of lithium ore resources.
The parties also agreed that, after the joint venture company officially started production, voluntarily set up a "special fund for the development of minority areas" (hereinafter referred to as "assistance funds") every fiscal year, and voluntarily donated the assistance funds through monetary donations, Project assistance and other forms are used to establish a stable and long-term benefit-sharing assistance mechanism with the Ganzi Prefecture government. The assistance funds will be used for public welfare undertakings, charitable activities, infrastructure construction, public service improvement, and improvement of people's livelihood in Ganzi Prefecture.

6月16日晚间，川发龙蟒(002312)发布公告，公司拟与中创新航、圣洁甘孜、眉山产投共同出资成立四川甘眉新航新能源资源有限责任公司（以下简称“合资公司”），各方以合资公司为主体在甘孜州投建锂资源深加工项目，开展甘孜州锂矿资源勘探开发、矿产品贸易、精深加工等业务。
公告显示，合资公司注册资本8亿元，其中川发龙蟒以货币出资1.6亿元，占比20%；中创新航以货币出资3.2亿元，占比40%；圣洁甘孜以货币及非货币出资1.6亿元，占比20%；眉山产投以货币出资1.6亿元，占比20%；公司以货币出资1.6亿元，占比20%。本次对外投资的资金来源于公司自有及自筹资金，根据项目资金需求分期实缴到位。
记者注意到，此次设立合资的四方各有背景。其中，中创新航是国内锂电池领域的重要玩家之一，此前由中航锂电更名而来，是国内第三大动力电池生产巨头。据中创新航规划，到2025年该公司电池产能将超过500GWh，到2030年产能将达1TWh（即1000GWh）。
而圣洁甘孜、眉山产投则分别是甘孜州国资委和眉山市国资委旗下100%控股的企业。川发龙蟒则深耕磷化工产业链，实控人为四川省国资委。近年来，川发龙蟒以磷酸铁锂为突破口，开始大力切入布局锂电新材料业务。
财报显示，川发龙蟒去年共生产工业级磷酸一铵26.98万吨，约占国内全行业总产量的13%，是全球产销量最大的工业级磷酸一铵生产企业。而工业级磷酸一铵可被用作磷肥、阻燃剂、饲料添加剂、磷酸铁的原材料等。
按照各方约定，合资公司董事会将由7名董事组成，其中圣洁甘孜、眉山产投和川发龙蟒各提名1名，中创新航提名3名，此外设职工董事1名。合资公司董事长由圣洁甘孜提名的董事担任，总经理由中创新航委派。
合资公司项目投产后，将按照市场原则合理制定产品定价机制。锂矿产品优先保障中创新航在眉山电池项目产业链配套（包含满足且用于中创新航配套需求的川发龙蟒），以及中创新航和川发龙蟒在眉山且配套中创新航电池项目锂矿资源加工。
各方还一致同意，在合资公司正式生产后，自愿每一会计年度设立“帮扶民族地区发展专项资金”（以下简称“帮扶资金”），并自愿将帮扶资金通过货币捐赠、项目援建等形式用于同甘孜州政府建立稳定、长效的利益共享帮扶机制。帮扶资金将用于甘孜州公益事业、慈善活动、基础设施建设、公共服务提升、民生改善等事项。
记者注意到，在此之前，川发龙蟒曾于今年2月宣布，拟以全资子公司德阳川发龙蟒新材料有限公司为主体，在德阿产业园投资120亿元建设德阳川发龙蟒锂电新能源材料项目。今年5月，川发龙蟒又公告宣布，将投资72.5亿元，在攀枝花钒钛高新技术产业开发区内建设20万吨/年磷酸铁锂、20万吨/年磷酸铁等项目。
对于川发龙蟒而言，上游锂矿资源是上述两个项目的必要元素之一。因此，本次投资的目的旨在获取四川省内优质锂矿资源，增强锂矿资源安全保供能力，解决公司锂矿资源卡脖子问题，进一步优化公司业务架构和提升公司产品竞争力。
“本次投资设立合资公司合作开展甘孜州锂矿资源勘探开发、矿产品贸易、精深加工等业务，有利于公司获取四川省内优质的锂矿资源，有利于为公司锂电新能源材料项目提供原料保障，有利于公司打造“硫-磷-钛-铁-锂-钙”多资源绿色低碳产业链。”川发龙蟒表示。
